Terms and Conditions

Use of Redstudio Design Limited's services constitutes acceptance and agreement to everything written on this page. From herewith in this TOS and SLA, the usage of “us”, “we”, “our”, “ours” shall constitute reference to Redstudio Design Limited, the usage of “you”, “your”, “they”, “them” shall refer to client / customer of Redstudio Design Limited.

Acceptance of Contractual Agreement

1. Client agrees that by placing an order either by means of electronic ordering (web order form) or submitting a written contract, and receipt of such order by Redstudio Design Limited, that you are agreeing to our TOS and SLA. No Modifications of said contract by customer is allowed.

2. Redstudio Design Limited will provide, and Customer will purchase and pay for, the Services, and service fees specified in the Order for the applicable Service Description. Customer acknowledges that the service, and service fees have been communicated to the customer, and that they are aware of all applicable charges as per contract, TOS and SLA. Customer also understands that any promotional offers unless specified in contractual terms will not be applicable to their individual service.

3. Redstudio Design Limited will not under any circumstances accept financial liability for sickness, stress, injury, loss of earnings, loss of data or failure of computer hardware, software, due to using our services, the failure of our services, or advice given by staff.

 

What may not be hosted on our network and will result in immediate site termination without warning.

 

- *ANYTHING* That violates any laws in the UK and USA.
- Copyrighted Software / Media
- Child pornography
- Info, tools or attempts related to hacking, phreaking, phishing, anarchy, virii, spam or terror related.
- Racist content
- Proxy Servers
- Bots of any kind
- Threats / harrassment aimed towards other sites or individuals
- Incitement to cause harm to any other site hosted on our network or any other network
- Performing or threatening to perform anything that degrades the performance of our server or degrades performance of ANY other server.
- Running or threatening to run anything that runs as a process on our servers that hasn't been installed by us (For example: Shoutcast, Teamspeak)
- Web Site Scrapers

 

We reserve the right to contact the police and other law enforcement agencies before contacting the customer if any of the above is found on our hosting accounts.

We reserve the right to cancel at anytime your hosting/domains with us if we suspect you have given us false information when signing up.

Additionally, we reserve the right to ban the use of applications which allow the proliferation of unsolicited email from our network, or which decrease the performance of our servers thus bearing on the quality of service we may provide to other customers.

 

Network Uptime is the total time in a calendar month that our network is available through the Internet, provided that Client has established connectivity. Redstudio Design Limited takes responsibility for Network availability within their network, however, we cannot be held liable for upstream problems outside of our network. Our guarantee is that our Network will be available to clients free of Network Outages, that render 100% packet loss, 99.9% of each calendar month. Network uptime is valid for the following services: http, mysql, pop3/smtp/imap.

Network Outages or Unscheduled Downtime is any unplanned or unscheduled interruption in Service availability during which Client is unable to access the services as described in the paragraph above. A Network Outage is defined as a period in which 100% packet loss to our network is experienced, which is determined to have been caused by a problem in our Network or server outage as confirmed by Redstudio Design Limited. Downtime or outages are measured as the total length of time of the unplanned interruption in service availability in a calendar month.

Scheduled Downtime is any scheduled interruption of Services, for the purpose of network upgrades, or replacement of any equipment in order to provide for you better service. Scheduled downtime occurs during notified downtime periods, with as much advance warning as possible via e-mail, blog and MSN Messenger.

 

SLA Network Violation Credit

Customer can request a % refund of their monthly payment back if the server has more than 1 hour of downtime in a 30 day period. 1 hour = 10%, 2 hours = 20%, 3 hours = 30%. 24 hours = 100%.

Customer must request their refund within 7 days of any downtime.

Performance Credit exclusions: The following are excluded from the monthly calculation of Service Availability: · Scheduled downtime · Problems outside of our network (upstream providers, or client's inbound connection) not effecting 100% loss to our network · Interruptions or failure of individual service caused by a client, their employees, client's customers, etc. to their service. These include inaccurate configuration, 3rd party software, client abuse or over utilization of resources, hacked servers, attacks, exploits, server hardware failures or other users on server to cause the server to overload which may cause downtime. We will do our best to remove such offenders immediately

Payment:

Establishment of this service is contingent upon receipt of payment from Customer to Redstudio Design Limited.
Payment for hosting services are due each year on the date of the first invoice. Services that require monthly payments will be invoiced on a monthly basis.

Payments and Fees:

Payment is due within 30 days of the billing date defined on your invoice. We reserve the right to claim statutory interest at 8% above the Bank of England base rate at the date the debt becomes overdue in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Monthly Contracts:

Monthly Web Development Contracts, or support packages require a monthly payment. Each month, services will be completed after payment has been received. All monthly services must be paid for a minimum of 12 months. You may not cancel your contract before the 12 months is up. After 12 Months you are free to cancel at any time and your services will be cancelled

Email Marketing:

Email marketing services require a monthly payment, and must be paid for a minimum of 12 months.

Your email's "From," "To," and routing information – including the originating domain name and email address – must be accurate and identify the person who initiated the email.

The subject line cannot mislead the recipient about the contents or subject matter of the message.

You must provide a return email address or another Internet-based response mechanism that allows a recipient to ask you not to send future email messages to that email address, and you must honor the requests. You may create a "menu" of choices to allow a recipient to opt out of certain types of messages, but you must include the option to end any commercial messages from the sender.

Any opt-out mechanism you offer must be able to process opt-out requests for at least 30 days after you send your commercial email. When you receive an opt-out request, the law gives you 10 business days to stop sending email to the requestor's email address. You cannot help another entity send email to that address, or have another entity send email on your behalf to that address. Finally, it's illegal for you to sell or transfer the email addresses of people who choose not to receive your email, even in the form of a mailing list, unless you transfer the addresses so another entity can comply with the law.

Your message must contain clear and conspicuous notice that the message is an advertisement or solicitation and that the recipient can opt out of receiving more commercial email from you. It also must include your valid physical postal address.

Email Marketing Law UK

Email marketing to individual subscribers requires:

1. Prior consent (opt-in), or an existing customer relationship
2. Clear identification of the sender
3. The provision of an address that the recipient can contact to withdraw their consent.

Email marketing is governed by laws on data protection, privacy and e-commerce, so you should plan your campaign carefully:

  • The Data Protection Act 1998 regulates how you build and manage your customer database. You need to comply with the law when sending emails to people who aren't already customers. Read about privacy laws affecting your email marketing on the Information Commissioners Office (ICO) website.
  • It is illegal to reveal recipients' details on any emails. Create a mailing group that sends a blind carbon copy (bcc) to each recipient.
  • When sending email marketing messages, you must not conceal your identity.
  • Under e-commerce regulations, marketing emails must include certain information about your business, including its full name, contact details and a clear indication of prices if you refer to them.
  • There must be a valid address for people to opt out of receiving emails from you.
  • You cannot send unsolicited marketing messages by email to individual subscribers unless you have their prior consent. There are exemptions if their address was collected in the course of a sale or if the recipient has expressed an interest in "similar" items and chose not to opt out when the address was originally collected. "Individual subscribers" do not include companies or individuals within companies.
  • E-commerce regulations require you to make all commercial email clearly identifiable as such, either in the header or the text of the email.

 

Account Cancellation:
All requests for canceling any service / services must be made within 8 days of the next due invoice, unless you are tied into a 12 month contract, this can be done by either visiting http://www.redstudiohosting.co.uk > My Account > My Orders and clicking cancel next to your order, emailing us on This e-mail address is being protected from spambots. You need JavaScript enabled to view it ,  or by calling us. If the customer cancels after an invoice is due, they must pay that invoice. If the customer cancels after a new invoice has been opened they must contact us to have the invoice removed. The customer has the right to appeal if the invoice is for an annual term, at which the total due will be taken by dividing the total due by 12 and adding the number of months overdue on top. The customer does not have the right to appeal if they are paying on a monthly term.
Refunds and Disputes:
All payments to Redstudio Design Limited are nonrefundable. This includes any setup fees and monthly fees regardless of usage. All billing disputes must be reported within 30 days of the time the dispute occurred. Disputed charges to your credit card issuer, also known as charge backs, in Redstudio's discretion which is valid, under the terms and conditions of our SLA and TOS, will result in service interruption, and reconnection fees to restore the desired service.

Redstudio Design Limited does backup your data, however we are not responsible for the restoration of data to server. We strongly recommend that you keep copies of your data off-site for emergency purposes. If hardware failure and data loss occurs, you the client are responsible for data restoration. Redstudio Design Limited shall not be liable for loss of data under any circumstance.
